Change of Control
Transactions
We generally prefer to acquire control positions in
the companies in which we invest, thus allowing us
to provide active partnering with management and the
full benefit or our resources and experience. Control
investments allow us to ensure that the enterprise
is managed from a long-term perspective consistent
with our philosophy and the requirement of our fund
investors.. We have the experience to complete and
structure transactions to afford the acquired businesses
financial flexibility to grow.
Minority Investment
We will also consider minority investments, particularly
growth capital investments in which we can contribute
more than just capital and participate through board
representation or otherwise in the development and
growth of the business. We will also consider so-called
PIPE transactions in appropriate existing public companies
and count as a “plus” the opportunity
to invest in a yielding security when making minority
investments.
Divestiture
Larger public or private companies from time to time
will consider selling or divesting a division or subsidiary
for a variety of reasons. Snapper Creek Equity Management
welcomes those situations because they offer a unique
opportunity to partner with management teams from
the start of their tenure as owner-operators, while
management can tap our extensive operating background
and business networks to smooth the transition to
becoming an independent company.
Recapitalization
– Family Succession
There is a generational change underway within thousands
of family businesses whose founding generation seeks
to attain some liquidity, set a sound estate planning
strategy, while passing on the stewardship of the
family business to the professional management team
or the next generation. The continuity and culture

Acquisition or
Buyout
Snapper Creek Equity Management can provide the investment
capital for the acquisition of a business or the buyout
of existing shareholder positions. This enables owners
or previous investors to achieve complete or partial
liquidity while ensuring that current management will
continue to operate the business.
Going Private
